Section 1: Name

The name of the Club shall be South Suburban Bassmasters.

Section 2: Purpose

The purposes for which the Club is organized are:
(a) To stimulate public awareness of bass fishing as a major sport.
(b) To offer our state conservation department our organized moral and political support and encouragement.
(c) To promote full adherence to all conservation codes and to demand adequate water standards.
(d) To detect and report any polluter and call public and political attention to his/her crime.
(e) To improve our skill as bass fishing persons through a fellowship of friendly exchange of expert bass fishing techniques and ideas.
(f) To promote and encourage youth fishing.
(g) A love for this great recreation.


Section 1: Requirement for Membership

To become a Club member, a person shall:
(a) Voluntarily express a genuine interest in membership.
(b) Be recommended by two members at a regular monthly meeting.
(c) Be voted on at a meeting of the members. Vote shall be by secret ballot and affirmation must be unanimous.
(d) The prospective member will then draw from the membership two names either of whom shall grant a fishing date with the prospective member prior to the next monthly meeting. The member must give testimony of the new member's fishing prowess and sportsmanship.
(e) Must be at least 16 years of age.
(f) Full membership shall then be awarded and membership credentials presented.

Section 2: Membership Fees

(a) The membership dues shall be SIXTY dollars annually and paid at or before the December regular meeting of members for the next year.


Section 1: Number

(a) There shall be an odd number of members board of directors consisting of twenty five percent of the Club's total membership, but not less then three and not more than seven members and must include the immediate past president the first year after he/she leaves office.

Section 2: Duties

The duties of the board of directors shall be as follows:
(a) To function as a directive body and manage Club affairs and real property in the Club's best interest.
(b) To decide all protests and rule on all violations of tournament rules and by-laws of the Club when appropriately received.
(c) To develop an agenda for regular meetings of the members.


Section 1: Directors and Officers

The officers of the Club shall consist of:
(a) Directors
(b) President
(c) Vice president
(d) Secretary
(e) Treasurer

Section 2: Duty of Directors

The duty of directors shall be as follows:
(a) To serve on the board of directors when it exceeds four as required by ARTICLE III, Section 1(a).

Section 3: Duties of the President

The duties of the president shall be as follows:
(a) To preside over all meetings and direct all official business.
(b) To appoint and be an ex officio member of all committees.
(c) To supervise all Club functions.
(d) To serve as chairman on the board of directors.
(e) To serve on the board of directors the first year after he/she leaves office.

Section 4: Duties of the Vice President

The duties of the vice president shall be as follows:
(a) To act as program chairman.
(b) To assist the president in his/her duties and preside in the absence of the president.
(c) To serve on the board of directors when it exceeds four in number.

Section 5: Duties of the Secretary

The duties of the secretary shall be as follows:
(a) To maintain accurate minutes of all regular and special meetings of the members and board of directors.
(b) To handle all correspondence.
(c) To serve on the board of directors after the immediate past president has been out of office more than one year.

Section 6: Duties of the Treasurer

The duties of the treasurer shall be as follows:
(a) To collect and disburse all monies.
(b) To maintain accurate financial records and present a current balance report at each regular meeting.
(c) To prepare an annual audit for review by the board of directors.
(d) To serve on the board of directors.
(e) The treasurer must be bonded.

Section 7: Elections

(a) The election of directors and officers shall be held annually at the regular meeting during the month of December.
(b) Election shall be by a majority vote of members present.
(c) Election for director and each officer shall be held separately in the order listed in ARTICLE IV, Section 1.

Section 8: Eligibility of Vote

(a) Each member is entitled to one vote.
(b) Proxy votes are not permitted.

Section 9: Term of Directors and Officers

(a) The term of office for directors and officers shall be for one year, which shall begin on January 1 and end on the last day of December or until successors assume office.

Section 10: Vacancies

(a) In the event of vacancies, nominations shall be asked and an election held to fill the unexpired term of the individual vacating the office.

Section 11: Eligibility for Directors and Officers

To be eligible for an officer or director a member must:
(a) Have been a member for at least one year.
(b) Have attended at least three fourths of regular meetings of the members and three fourths of all Club functions.
(c) Have shown an active interest in all Club functions.


Section 1: Removal of Directors and Officers

(a) A director or officer may be removed by a two thirds vote of the members present when in the members judgment the best interests of the Club will be served thereby.


Section 1: Regular Meeting of the Members

(a) The membership shall hold monthly regular meetings at pre-established times.

Section 2: Meetings of the Board of Directors

(a) The chairman shall call meetings as necessary, but not less than once a month.

Section 3: Special Meetings of the Members

(a) Special meeting of members may be called by the president or by the board of directors.

Section 4: Notice to Members and Directors of Special Meetings

(a) In the case of a special meeting of the members or board of directors, written or printed notice stating the place, day, hour and purpose or purposes for which the meeting is called shall be delivered by mail not less than five days nor more fifteen days before the day of the meeting.

Section 5: Quorum

Meeting of the members and board of directors:
(a) One-half of the Club membership and One-half of the board of directors shall constitute a quorum at any meeting of the members and board of directors.

Section 6: Rules of Order

(a) Rules contained in Robert's Rules of Order shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with the Club Charter or special rules.


Section 1: Term

(a) All standing committees will serve for one year or until and a new committee is appointed. The term of the committee members will coincide with that of the president.

(c) Tournament committee

Section 3: Purpose of the youth committee

The purpose of the youth committee shall be as follows:
(a) To plan, organize, and implement youth program.
(b) To give youth a basis for respect of our national heritage, an appreciation of the basic rules of honesty, integrity, fair play and good sportsmanship.
(c) To give them an introduction to the sheer joy of fishing.

Section 4: Purpose of the conservation committee

The purpose of the conservation committee shall be as follows:
(a) To teach members and youth good conservation practices.
(b) To protect our natural environment from harmful change.
(d) To document and report to the proper authorities violations of local, state, and federal anti-pollution laws, statutes, regulations, ordinances, and other regulatory devices.
(e) To take a leadership role in repairing the harm that has already been done to the life giving waters of America.

Section 5: Purpose of the tournament committee

The purpose of the tournament committee shall be as follows:
(a) To plan, organize, and conduct all tournaments.
(b) To draft tournament rules and schedules which must then be approved by the general membership.
(c) To keep tournament records, enforce all tournament rules, and investigate all protests concerning tournaments and make recommendations to the board of directors.


Section 1: Removal of Members

A member shall be dropped from the membership role for the following:
(a) Failure to pay membership dues for the next year before or at the December regular monthly meeting of the members.
(b) Any action which would reflect dishonor and disgrace on the Club.
(c) Failure to attend 50% of meetings and 50% of functions during a twelve month period, except in the case of sickness or working conditions.


Section 1: Amending Charter

(a) This charter may be amended at any regular meeting of members by two thirds vote of the members present, provided written notice of the proposed amendment has been presented to the membership at the previous regular meeting prior to the vote.
